Oak Park Moms & Tots Board of Directors Code of Conduct

I, ___________________________________, am a Board Member of Oak Park Moms And Tots.  In carrying out my duties as a director of the organization during my term of office I declare that:

I will use the powers of my office and carry out my duties honestly, in good faith and in the best interests of the Organization. At all times I will apply myself with care, skill, and diligence. And I will do so reasonably and prudently.

 

I will honour and observe the Organization's:
            (a) Constitution and By-Laws;
            (b) policies adopted and approved by the Board of Directors; and
            (c) decisions taken by resolution of the membership.

 

Confidential information received by a member of the Board or received by anyone else for purposes of a confidential proceeding of the Board or its committees shall not be used, directly or indirectly, for personal gain by the board member or other person.

I will publicly support the policies and positions of OPMT as approved by the Board of directors. 

 

I will adhere to the Board Confidentiality Guidelines.

 

I will adhere to the Board Financial Guidelines.

 

I will endeavour to attend all board meetings.

 

I will be aware of my legal responsibilities as a board member.

 

I will manage OPMT’s affairs honestly with all due diligence and in the best interests of the organization.

 

I will read pre meeting reading material including the agenda.

 

 I will abide by the Conflict Of Interest Policy.

 

I will participate in completing annual liability checklists that include…

·         Review the Financial Guidelines and make changes where needed.

·         Review Conflict of Interest and Confidentiality Guidelines

·        Review and complete Board Member Code Of Conduct Forms

·        Develop and implement staff evaluation process

·        Update Incorporation Documents

·         Review Personnel policies.

·        Maintain up- to-date staff contracts & job descriptions

·         Maintain minute books and membership rolls for 7years.

·        Purchase adequate insurance

·         Review board job descriptions

·         Ensure all staff tax & payroll deductions have been made and that T4’s have been sent and vacation paid out by the end of each year’s contract.

·         Review programs to ensure are in keeping with goals of non-profit organization and our Mission Statement

·         Complete evaluation of all programs including input from members, partners, board and staff

·         Complete Board evaluation

·         Set annual, measurable goals for programs.
